  • "Engagement" refers to the formal agreement between sila jurot and a client for the provision of legal services.

By accessing our website, submitting an inquiry, or engaging our legal services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our website or services.

Use of our website and services is restricted to individuals and entities with the legal capacity to enter into binding agreements under Thai law. If you are accessing our services on behalf of a business or organization, you represent that you have authority to bind that entity to these terms.

Individuals under 18 years of age may not use our services or website without parental or guardian consent and supervision.

3. Service Description

sila jurot provides professional legal services in the following areas:

  • Contract Review and Drafting: Examination, revision, and creation of legal agreements
  • Business Registration and Compliance: Support for Thai business entity formation and ongoing compliance
  • Intellectual Property Advisory: Guidance on trademark, copyright, and trade secret protection

Service availability is subject to attorney availability and workload capacity. We reserve the right to decline engagements where we identify conflicts of interest, lack appropriate expertise, or determine that we cannot meet client needs effectively.

4. Engagement and Service Agreements

4.1 Formation of Attorney-Client Relationship

An attorney-client relationship is established only through a formal written engagement agreement signed by both parties. Initial consultations, website inquiries, or informal communications do not create an attorney-client relationship or establish any duty of representation.

4.2 Scope of Services

Each engagement agreement specifies the scope of legal services to be provided, deliverables, timeline, and fee arrangement. Services are limited to the scope defined in the engagement agreement unless both parties agree in writing to modifications.

4.3 Client Responsibilities

Clients are responsible for:

  • Providing complete and accurate information relevant to the engagement
  • Responding to requests for information or clarification within reasonable timeframes
  • Making timely decisions when required to advance the matter
  • Complying with Thai legal requirements applicable to their situation
  • Payment of fees according to agreed terms

5. Fees and Payment Terms

5.1 Fee Structure

Our services are provided on a fixed-fee basis as outlined on our website and in individual engagement agreements. Fees are quoted in Thai Baht and are based on the scope of services defined at the outset of an engagement.

5.2 Payment Terms

Unless otherwise specified in the engagement agreement:

  • Contract review services: Payment due upon delivery of final work product
  • Business registration services: 50% advance payment, balance due upon completion
  • IP advisory services: 30% advance payment, balance due upon report delivery

5.3 Additional Costs

Government filing fees, translation costs, notarization fees, and other third-party expenses are billed separately at actual cost unless specifically included in the quoted fee.

5.4 Refund Policy

Advance payments are refundable if we decline the engagement or fail to commence work within agreed timeframes. Once work has commenced, fees are refundable only for the portion of services not yet performed.

6. Confidentiality and Professional Obligations

6.1 Attorney-Client Privilege

Communications between clients and sila jurot attorneys are protected by attorney-client privilege under Thai law. We maintain strict confidentiality of all client information and communications as required by legal professional standards.

6.2 Conflicts of Interest

We conduct conflict checks before accepting engagements and maintain procedures to identify and address potential conflicts throughout representation. We will not represent parties with adverse interests without proper consent and safeguards.

6.3 Professional Standards

All attorneys are subject to professional conduct rules established by the Lawyers Council of Thailand and the Thai Bar Association. Our practice adheres to these ethical standards in all client representations.

7. Intellectual Property Rights

7.1 Firm Materials

All content on our website, including text, graphics, logos, and software, is the property of sila jurot or its licensors and is protected by Thai and international intellectual property laws. Unauthorized reproduction or distribution is prohibited.

7.2 Work Product

Legal documents, analysis, and recommendations prepared for clients are provided for the client's use in connection with the specific matter. Clients may use work product for the intended purpose but may not reproduce or distribute it for other purposes without our consent.

7.3 Client Materials

Clients retain ownership of materials and information provided to us. We use such materials solely for the purpose of providing legal services as agreed.

8. Disclaimers and Limitations

8.1 No Outcome Guarantees

We provide professional legal services but cannot guarantee specific outcomes or results. Legal matters involve inherent uncertainties, and outcomes depend on various factors including applicable law, facts, and decisions by third parties or government authorities.

  • We are not liable for delays or failures caused by circumstances beyond our reasonable control, including government office delays, force majeure events, or client-caused delays

These limitations do not apply to liability that cannot be excluded or limited under applicable law, including liability for intentional misconduct or gross negligence.

10. Termination

10.1 Client Termination Rights

Clients may terminate an engagement at any time by written notice. Upon termination, clients remain responsible for fees for services performed up to the termination date plus any non-refundable third-party expenses incurred.

10.2 Firm Termination Rights

We may terminate representation if:

  • Client fails to pay fees when due
  • Client provides false or materially incomplete information
  • Continuation would violate professional obligations or legal requirements
  • Client requests actions we reasonably believe to be improper or impracticable

10.3 Post-Termination Obligations

Upon termination, we will provide client files and work product completed to the termination date. Confidentiality obligations survive termination indefinitely.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms and Conditions and all engagements are governed by the laws of the Kingdom of Thailand.

11.2 Jurisdiction

Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.

11.3 Informal Resolution

Before initiating formal proceedings, parties agree to attempt good-faith resolution of disputes through discussion and negotiation.

12. General Provisions

12.1 Entire Agreement

These Terms and Conditions, together with any signed engagement agreement, constitute the entire agreement between parties regarding the subject matter and supersede all prior communications or agreements.

12.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full force and effect.

12.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

12.4 Assignment

Clients may not assign or transfer their rights or obligations under an engagement without our prior written consent.

13. Changes to Terms

We may update these Terms and Conditions periodically to reflect changes in our practices or legal requirements. Updated terms will be posted on our website with a revised "Last Updated" date. Continued use of our website or services after changes constitutes acceptance of the updated terms.

Existing engagement agreements are governed by the terms in effect at the time of engagement unless both parties agree to modifications.
